Welcome to shopnuvena.com (together with any related content, features, and communications, the "Website"), operated by NUTRASCALE LLC, a Florida limited liability company doing business as Nuvena ("Nuvena", "we", "us", or "our"). These Terms of Service (the "Terms") govern your access to and use of the Website and your purchase of any Nuvena products. Please read them carefully. By accessing the Website or placing an order, you agree to be bound by these Terms and by our Return & Refund Policy, Shipping Policy, and Privacy Policy, each of which is incorporated into these Terms by reference. If you do not agree, please do not use the Website.

1. Website use and eligibility

You must be at least 18 years of age, and possess the legal authority and capacity to enter into a binding contract, to use the Website or purchase our products. By using the Website you represent that you meet these requirements and that all information you provide is true, accurate, and complete.

2. Privacy

Our Privacy Policy describes how we collect, use, and disclose personal information, and is incorporated into these Terms by reference. By using the Website you consent to those practices.

3. User conduct

You agree not to use the Website: (a) for any unlawful purpose; (b) to attempt to gain unauthorized access to any portion of the Website, other accounts, or any systems or networks connected to the Website; (c) to transmit viruses, malware, or any other malicious code; (d) to post or transmit content that is defamatory, harassing, abusive, obscene, or infringes any party's intellectual-property or privacy rights; (e) to harvest or collect personal information about other users; or (f) to scrape, index, or copy Website content at scale by any automated means. We reserve the right to suspend or terminate your access to the Website, without notice, for conduct that violates these Terms or that we reasonably believe is harmful to us or others.

4. Products sold for personal use only

Nuvena products are sold for personal use only. You agree that you will not resell, redistribute, modify for sale, or export any product purchased from the Website. Resale of our products outside authorized channels can result in the product becoming materially different — including through improper storage or handling — which may affect its safety and quality, and voids the 90-Day Guarantee and all other warranties.

5. No medical advice; FDA disclaimer

The statements made on this Website have not been evaluated by the Food and Drug Administration. Nuvena products are dietary supplements and cosmetics, and are not intended to diagnose, treat, cure, or prevent any disease.

• All content on the Website — product descriptions, protocol guides, references to published research, blog content, emails, and packaging — is provided for informational purposes only. It is not medical advice and is not a substitute for the advice of your physician, pharmacist, or another qualified health provider.
• Consult your healthcare provider before beginning any supplement, particularly if you take prescription medication (including blood thinners or antiplatelet drugs, blood-pressure medication, ACE inhibitors, or potassium-sparing diuretics), have impaired kidney function or any medical condition, are pregnant or nursing, or have an upcoming surgery.
• Where we cite published research, we do so to explain why ingredients and doses were chosen. Individual results vary, and Nuvena makes no guarantee that you will achieve any particular health, wellness, or appearance outcome.

6. Modifications to the Website and pricing

We reserve the right at any time, without notice and at our sole discretion, to modify or discontinue the Website (or any part of it), to correct errors or omissions, to change product descriptions, and to change prices. We are not liable to you or any third party for any such modification, price change, suspension, or discontinuance. Promotions and discount codes may be modified or ended at any time and may not be combined unless expressly stated.

7. Payment

All charges are processed in U.S. Dollars. By submitting payment information you represent and warrant that you are fully authorized to use the payment method provided, that the information is true and accurate, and that sufficient funds or credit are available. You authorize us and our payment processors to charge your payment method for the total of your order, including applicable taxes and shipping. Where offered by your card issuer, you authorize us to receive updated card details (such as a new expiration date) to prevent interruption of any subscription you have chosen.

8. Order placement and acceptance; subscriptions

Your order confirmation does not signify our acceptance of your order. We reserve the right to accept, decline, limit, or cancel any order for any reason — including suspected fraud, pricing or listing errors, or quantity limits — at any time before shipment; if payment was taken for a cancelled order, we will refund it in full to the original payment method. We may limit quantities per person, household, or order.

Where subscription options are offered: you will be billed automatically on the schedule you select at checkout, at the price shown, until you cancel. You may cancel, pause, or modify your subscription at any time through your account or by emailing help@shopnuvena.com at least 24 hours before your next billing date. Refill shipments are governed by our Return & Refund Policy. If a subscription payment fails, we may retry it and contact you; unpaid balances for shipped goods remain your responsibility.

9. Shipping

We currently ship within the United States only, as described in our Shipping Policy. You are responsible for providing an accurate shipping address and contact information; we are not responsible for orders shipped to an incorrectly provided address. Orders may be modified or cancelled only before they ship.

10. Delivery confirmation

You agree that delivery confirmation provided by the carrier is sufficient proof of delivery, even without a signature — subject to the lost-package and missing-delivery procedures in our Shipping Policy, which we honor in every case.

11. Returns, refunds, and the 90-Day Guarantee

Our Return & Refund Policy, including the 90-Day Nuvena Guarantee, governs all returns and refunds and is incorporated into these Terms. The guarantee applies only to purchases made on shopnuvena.com and is subject to the fair-use limitations described in that policy.

12. Social media and community content

Our social media presences are hosted on third-party platforms we do not control. Comments and opinions expressed by users on social media or in reviews are theirs alone and do not reflect the opinions of Nuvena. We are not responsible for third-party platform policies or for user-generated content on those platforms.

13. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. NOTHING IN THIS SECTION LIMITS THE 90-DAY GUARANTEE DESCRIBED IN OUR RETURN & REFUND POLICY, OR ANY WARRANTY OR RIGHT THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NUVENA OR ANY OF ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE WEBSITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE HUNDRED U.S. DOLLARS ($500). 15. Dispute resolution: binding arbitration and class-action waiver

Except for disputes that qualify for small-claims court or claims of intellectual-property infringement (which either party may bring in court), ANY DISPUTE OR CLAIM ARISING FROM OR RELATING TO THESE TERMS, THE WEBSITE, OR ANY PRODUCT SHALL BE RESOLVED BY BINDING, FINAL, AND CONFIDENTIAL ARBITRATION BEFORE A SINGLE ARBITRATOR ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS CONSUMER ARBITRATION RULES. YOU AND NUVENA EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative proceeding, and may award relief only in favor of the individual party seeking relief.

Opt-out: You may opt out of this arbitration provision within 30 days of your first purchase by emailing help@shopnuvena.com with the subject line "Arbitration Opt-Out," including your name, order number, and a statement that you opt out of arbitration — or by mailing written notice to NUTRASCALE LLC, 11602 Lake Underhill Rd, Unit 140, Orlando, FL 32832. Opting out does not affect any other provision of these Terms.

16. Indemnification

You agree to indemnify, defend, and hold harmless Nuvena and its officers, directors, members, employees, contractors, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of any law or third-party right, or your misuse of the Website or products.

17. Third-party websites and links

The Website may contain links to third-party websites and resources, including published research. These links are provided for convenience only. We do not control and are not responsible for third-party content, and a citation to a study is not a representation that our products will replicate its results. Complaints or questions regarding third-party products or content should be directed to the applicable third party.

18. Testimonials, reviews, and submissions

Anything you voluntarily submit or post to the Website or send to us — reviews, comments, photos, suggestions, or other materials ("Submissions") — is and will be treated as non-confidential and non-proprietary. You grant Nuvena a royalty-free, worldwide, perpetual, irrevocable, and transferable right and license to use, reproduce, modify, publish, and display Submissions in any media, including in advertising, without compensation or notice, except where prohibited by law. You represent that your Submissions are accurate, are your own, and do not violate any third party's rights. Testimonials reflect individual experiences and do not represent the generally expected user experience. We may (but are not obligated to) monitor, edit, or remove Submissions at our discretion.

19. DMCA notice and intellectual property

We respect intellectual-property rights. If you believe content on the Website infringes your copyright, send a notice compliant with the Digital Millennium Copyright Act to help@shopnuvena.com with the subject line "DMCA Notice," identifying the copyrighted work, the allegedly infringing material and its location, your contact information, a statement of good-faith belief, and a statement under penalty of perjury that you are authorized to act for the copyright owner.

All Website content — including text, product formulations and descriptions, protocol guides, graphics, logos, images, and software — is owned by or licensed to Nuvena and protected by copyright, trademark, and other laws. You are granted a limited, personal, non-commercial license to view and use the Website. You may not download (other than page caching), copy, reproduce, distribute, transmit, display, sell, license, modify, or create derivative works from any content without our prior written consent.

The copyright in all materials on the Website is owned by Nuvena or its licensors. Permitted personal use must retain all copyright and proprietary notices.

21. Trademarks

NUVENA, the Nuvena wordmark and tick-rule device, and our product names — including Citrate 30., Motility 90., Rebuild., Reinforce., and The System. — are trademarks of NUTRASCALE LLC. No use of these marks is permitted without our prior written consent. All other marks appearing on the Website are the property of their respective owners.

22. Electronic communications

When you use the Website, place an order, or send us email or text messages, you are communicating with us electronically and consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. If you opt in to text messages, message frequency varies, message and data rates may apply, consent is not a condition of purchase, and you can opt out at any time by replying STOP or get help by replying HELP.

These Terms are effective until terminated by either party. You may terminate by ceasing to use the Website. We may terminate or suspend your access at any time for violation of these Terms. Sections 2, 4, 5, 13 through 21, and 23 through 27 survive termination.

27. Governing law and entire agreement

These Terms are governed by the laws of the United States and, to the extent state law applies, the laws of the State of Florida, without regard to conflict-of-law principles, except that the arbitration provision is governed by the Federal Arbitration Act. These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Nuvena regarding the Website and supersede all prior agreements and understandings.
